ARTICLE I - NAME
The name of the organization shall be Grosse Pointe Friends and Neighbors Club, hereinafter referred to as GPFNC or the Club.
ARTICLE II - OBJECTIVE
1. To promote the Club within the community.
2. To provide its members opportunities to meet and become acquainted with one another and the community.
ARTICLE III - POLICY
GPFNC is a non-profit organization and will not discriminate against prospective members because of race, color, creed, national origin, sex, income, marital status, or educational background. In addition, the Club is non-partisan, non-sectarian, and sponsors no legislative activities. Members shall not solicit for other organizations or businesses at any GPFNC function, by use of the membership handbook, or via electronic means, excepting authorized use of the GPFNC website.
ARTICLE IV - MEMBERSHIP
Residents of the Grosse Pointe School District are eligible to join the Club as new members. Members are expected to abide by the rules and regulations of the Club as outlined in its membership handbook. An associate membership is available to non-participating members who have moved from the area. After 3 years, a member is considered a long-term member and may maintain active membership in the club AFTER moving outside the Grosse Pointe School District.
ARTICLE V - DUES
The Executive Board shall determine dues. A prospective new member may attend two Club functions (excluding the Holiday Luncheon) before paying dues. Annual dues are payable by June 1st and must be paid by July 31st to be included in the membership handbook. Any Club member failing to pay the dues before the Kick-Off Luncheon will be dropped from the Club, may rejoin only as a new member, and may not attend any function as a guest.
ARTICLE VI - MEETINGS
GPFNC will have one General Meeting each month September through May. Additional meetings may be held, if desired. The meetings will be held on the first Thursday of the month unless changed to another date by the Executive Board. Executive Board and Chairpersons shall make oral monthly reports to the attending members. The President may call a special meeting when necessary. The April meeting shall be considered the Annual Meeting, and include the election of officers.
ARTICLE VII - QUORUM
A simple majority of members present shall constitute a quorum.
ARTICLE IX - TERMINATION
A member may resign from the Club at any time. The Club shall retain any previously paid dues. Any member that fails to follow the rules and regulations set forth by the membership handbook may receive up to 2 written notices of indiscretions before being considered for permanent membership termination by the Executive Board.
Article X - FINANCES AND RECORDS
The fiscal year of the Club commences August 1st and closes July 31st. An audit of the Club's financial operation shall be made every three years or ore often if deemed necessary by the Executive Board. The Club may employ such outside accounting assistance, as the Executive Board deems necessary. The associated expense of such assistance is the responsibility of the Club. Said audit is to be completed no later than 60 days after the close of the Club's fiscal year.
ARTICLE XI - OFFICERS
The officers of GPFNC shall be President, First Vice-President Programming, Second Vice-President Membership, Recording Secretary, Corresponding Secretary and Treasurer. These officers shall be called the Executive Board and shall be elected annually. They shall perform the duties usually required of such officers and in accordance with Article XII.
ARTICLE XI - ELECTION OF OFFICERS
At the March meeting the Nominating Committee will present candidates for the Executive Board. Vote shall proceed at the April General Meeting.
ARTICLE XII - DUTIES OF THE OFFICERS
1. The PRESIDENT shall be the chief executive officer of the Club and shall preside over all meetings of the Club, the Executive Board, and the Auxiliary Board. The President shall be an ex-officio member of all standing and special committees, except the nominating committee. The President shall perform such other duties as usually pertain to the office of President.
2. The FIRST VICE-PRESIDENT shall preside in the absence of the President at General, Executive Board, and Auxiliary Board meetings. The First Vice-President shall serve as PROGRAM Chairperson for all General Meetings and perform such other activities as may be assigned by the President. Should the office of President become vacant, the First Vice-President shall automatically fill the office. 3. The TREASURER shall collect all dues and fees, disburse funds, and maintain the Club's moneys and financial records.
4. The SECOND VICE-PRESIDENT shall preside in the absence of the President and First Vice-President and shall serve as MEMBERSHIP Chairperson.
5. The RECORDING SECRETARY shall take minutes at all General, Executive Board and Auxiliary Board meetings, shall maintain records of meetings and have them available at General Meetings.
6. The CORRESPONDING SECRETARY shall handle all correspondence except that pertaining to finance; shall handle publicity/public relations; shall perform such other duties as usually pertain to the position.
ARTICLE XIII - EXECUTIVE BOARD AND AUXILIARY BOARD
1. The EXECUTIVE BOARD shall be composed of the elected officers of the Club and shall be the governing body of the Club.
2. The AUXILIARY BOARD is composed of the elected officers (Executive Board), the immediate Past President and the following appointed positions: General Meetings Reservations Chair, Discover Detroit Chair, Activities Chair, and Newsletter Chair. The AUXILIARY BOARD shall meet monthly, or as called by the President, and shall execute the Club's programs and activities. Each May a meeting shall be held to facilitate the transfer of duties of the incoming and outgoing Auxiliary Boards.
3. The Executive Board may ask an officer to resign, if necessary.
ARTICLE XIV - NOMINATING COMMITTEE, ELECTIONS, VACANCIES
The NOMINATING COMMITTEE shall be composed of a Chairperson and a Past President each appointed by the current President; three members of the Club elected at the October General Meeting; the Second Vice-President or her appointed Membership Committee member, and the General Meetings Committee Chairperson or her appointed Reservations Committee member. No person shall serve consecutive years on this committee. At the March meeting the Nominating Committee will present candidates for the Executive Board. The vote will be taken at the General meeting in April. A simple majoirtiy of those present and voting shall constitute election. Should a vacancy occur in any office other than the President, which is automatically filled by the First Vice-President, the Nominating Committee shall present to the membership another name as candidate for that office.
ARTICLE XVI - SPECIAL COMMITTEES
The President shall appoint special committees as deemed necessary.
ARTICLE XVI - AMENDING THE BY-LAWS
A By-law Committee, appointed by the President, shall consist of no less than 3 members ahd shall prepare any changes for persentation to the Executive Board and then to the Club's membership at least one month prior to presentation at a General Meeting. Approval shall be vote of a simple majority of those present and voting.
